General Information
Thank you for visiting the User Agreement page of WorldWide Trader.com (hereinafter, “WWT” or “site” ) Please be advised that any use of the WWT website, whether directly or indirectly, including browsing the WWT website, by you, the user will constitute your express acceptance to the terms and conditions of this User Agreement, the Privacy Statement of WWT, and the Statement of Prohibited Items (hereinafter, collectively referred to as “Agreement”). Please be further advised that this agreement is integrated with our licensed Privacy Statement and defines the terms and conditions under which a user may utilize the features of the WWT website.

The following terms and conditions shall be applicable to this Agreement:

A “user” is defined as any person or entity who uses or browses any features of the WWT website. The user may be, but is not necessarily, registered with WWT.

An “ad” is defined as any user-posted advertisement of an item or service, whether it is a product or service for sale, a product or service being auctioned, a “wanted” advertisement seeking a product or service, or any other free or fee-based listing on this the WWT website.

“Going live” is defined as the ad being posted on the WWT website www.WorldWideTrader.com for public viewing, inquiries and purchase.

“Item” may be construed as any product or service offered for sale, trade, auction or purchase on this WWT website.

The use of “he”, “him” or “his” is strictly for brevity of content, and in no way reflects limitations on a user, company or other entity that may use this site the WWT website and is bound by this User Agreement and Privacy Statement .

This User Agreement may be modified from time to time. Users will be notified of changes via an announcement on the homepage of WWT, or though a system e-mail. All such modifications and changes will become effective on the date of posting, and will apply to all users of this site.

Warranty and Liability
WWT is a virtual marketplace, providing a medium for the meeting of buyers and sellers in a single, easy to use location. WWT does not buy or sell any of the products items offered for sale or exchange on the WWT website, and WWT does not assure, warrant, or guarantee the quality, quantity, value, legality or authenticity of any of the items offered for sale or exchange on the WWT website. Furthermore, WWT cannot and does not assure, warrant, or guarantee that any transaction will actually be consummated or completed, or that the products or services items offered are in fact available, or as represented. At all times it is understood that the user and WWT shall act independently of each other; as such and therefore, no agency, fiduciary, or other legal relationship of any nature exists or is created by use of the WWT website.

IF YOU RELY OR ACT UPON ANY INFORMATION AVAILABLE VIA THE WWT WEB SITE, YOU DO SO AT YOUR OWN RISK. The services of WWT are offered without any assurances, warranties or guarantees, either express or implied. WWT, and as applicable, its parent, subsidiaries, partners and suppliers explicitly offer no implied warranties or guarantees to users of this site with regard to merchantability, fitness for a particular purpose, title or ownership, salability, ownership or the breach of any law with regard to products or services items advertised in the WWT website herein. WWT shall not be held liable for any damages, including but not limited to compensatory, incidental or consequential damages, damages for lost income or other losses arising from any use of, or connection with, the WWT website. WWT’s liability under any theory of recovery shall be expressly limited to a refund of any fees paid to WWT in connection with use of our services for a period of six months prior to the date of legal action taken against WWT, and as applicable, its parent, subsidiaries, partners and suppliers.

WWT has links available to other businesses which may provide services in completing transactions such as those initiated via use of the WWT website. WWT does not provide any assurances, warranties or guarantees with regard to any such services offered by other businesses providing services in connection with the WWT website. User further agrees that WWT is not responsible for the products and/or services provided by these companies. User also agrees to release WWT, and as applicable, its parent, subsidiaries, partners and other affiliates from any causes of action or damages that may be incurred as a result of your use of these-third party products and services.

To the extent some states do not allow the disclaimer of implied warranties, or the exclusion or limitation of incidental or consequential damages, so the foregoing may not apply to you.

This User Agreement is created in and shall be construed in accordance with the laws of the state of Florida. By using this service, you consent to the exclusive jurisdiction of the state and federal courts in Broward County, Florida, in all disputes arising out of or relating to this Agreement, or the use of this the WWT website, or the relationship between WWT and user. Any portion of this Agreement deemed to be unlawful or unenforceable shall in no way affect the validity of the remaining portions of the Agreement. The user agrees to indemnify and hold WWT harmless from any claim made by any party in connection with use of this Web site for any reason arising from any unlawful or wrongful act or omission, breach of the Agreement, or other malfeasance attributable to the user.

Registered Users
While a non-registered user may browse ads, many features of this site may only be accessed by first registering with WWT from the homepage, or where indicated.

Registering with WWT is free. Registration requires that the user provide valid and true personally identifiable information, which assists us in communicating with you and making your experience at our site more enjoyable and customized to your interests. Your personally identifiable information is kept secure and used only for activities described in our Privacy Statement .

In submitting advertisements or information to WWT, you grant permanent rights to WWT for all submitted ad material, including but not limited to text, photographs or electronic reproductions, for commercial use and publication, as well as indefinite storage in our archives.

Registration is limited to individuals at least eighteen (18) years of age that may enter into a legally-binding contract. As your account contains personal information and records, you may not transfer the account to another party or entity, and you are strongly advised not to share your password with anyone.

Fees
WWT offers a tremendous amount of flexibility in the services offered for locating the items users desire to buy, sell, auction and search for. As such, fees for each activity are not covered on this page. Ad posting prices are listed in the ad placement process. By completing the registration process, User hereby warrants that he has read, completely understands and will abide by policies set forth herein. User agrees that he or she will read the auction closing fees page located at www.WorldWideTrader.com/fees.html immediately upon registering. Fees listed reflect standard rates, and only registered users will have access to this page. From time to time, WWT may offer promotional specials that deviate from those listed. Such promotional fees will always be below those listed in the ad placement process or on the Fee Schedule for exactly the same services, and are effective for the time period indicated on the posting. Transactions qualifying for promotions must be purchased within the timeframe noted. In addition, WWT may offer incentives or discounts to users meeting specified criteria.

All quotes are in US dollars.

Once fees have been charged and the ad “goes live,” fees are non-refundable, although the user may cancel his ad at any time prior to the noted expiration date of the ad.

We may change pricing and services offered at any time. We may notify users of these changes by posting an announcement on our homepage, or by a system e-mail. Fee changes will take effect immediately and will affect all ads placed after the pricing change.

When you use a fee-based service of WWT, you will be able to view, and agree to, ad posting charges before completing a transaction. The user is responsible for all fees, including auction closing fees where applicable, and taxes as agreed to upon confirmation of the transaction.

User Responsibilities
The seller of an item must be the rightful, legal owner of the item for sale, or an agent authorized by the rightful owner to sell the item. The item being offered must be available for sale at the price listed, or according to auction criteria chosen.

The user is responsible for entering data for the ad in most instances. Whether entered by the user or by WWT, the user is responsible for verifying all information contained in the ad. The ad may be reviewed for editing prior to final confirmation and the ad’s “going live.” In addition, the user has the ability to cancel his ad at any time by following the link indicated on his ad confirmation, or by logging into his “My WWT” at www.WorldWideTrader.com .

The user must agree to have certain personally identifying information posted on the Web site so that other users of the site may contact him regarding products or services offered. The user assumes all liability and risks involved in making personally identifying information available to the public.

If the user has posted an item for auction, the user is bound by his selection of criteria (i.e. reserve price, minimum acceptable bid, etc.). If the auction does not bring at least the minimum acceptable bid or reserve price, the user is not obligated to sell the item. However, if minimum criteria have been met, the user is legally bound to accept and must complete the transaction with the winning bidder, unless the bidder fails to uphold his end of the agreement by withholding payment, or if other extenuating circumstances force the cancellation of the transaction (i.e. item is damaged prior to shipment, was misrepresented in error, etc.). If the ad is subject to closing fees, such as auctions, the closing fees will be billed to the sellers account automatically after the reserve price, or Purchase Now price, has been met or exceeded and are non refundable.

If the user has received payment for any product or service offered for sale, but does not provide the product or service to the buyer, the user must refund the money immediately. If WWT is notified that a user has misappropriated monies paid by other parties, user agrees and consents to WWT that it will keep such information on file, may suspend or close the offending user’s account, and reserves the right to release the user’s personally identifying information to law enforcement or government authorities as required. These actions are not the sole course of actions that WWT or other affected users may take against the offending party.

The buyer of an item must be able to legally take ownership of the item offered for sale. Bidding on an item, or completing a transaction with a seller, serves as constructive notice that the buyer is of legal age and has the capacity to enter into a binding contract.

If WWT is notified that a user is the successful bidder on an auction item, but does not provide necessary documentation or funds to complete the transaction, WWT will keep this information on file, and reserves the right to suspend or close the offending user’s account.

It is the users’ sole responsibility to collect information on and complete transactions for ads posted on this site. WWT will not participate in any transaction and will not be held accountable for any aborted transactions or miscommunications between parties. The user assumes all risks involved in dealings with other parties through use of WWT.

Prohibited Listings and Activities
WWT will not permit certain items to be listed on this Web site. Please visit http://www.worldwidetrader.com/Membership/prohibitedItems.asp for a list of products and services that will not be accepted. If a prohibited item is audited and rejected prior to the ad “going live,” the user will receive a cancellation notice via email and a credit of fees charged for the ad. If the ad for the prohibited item inadvertently “goes live,” it may be cancelled at any time by WWT without refund to the user. The user will be notified of the cancellation via email. If it is established that a user has repeatedly posted prohibited items (successfully or otherwise), WWT may close the user’s account, and may pursue any and all legal remedies available to WWT against user. Furthermore, user agrees to hold harmless and indemnify WWT for any and all claims by third parties against WWT as a result of the user posting prohibited items on the site. By completing this agreement, User hereby warrants that he has read, and completely understand, WWT’s prohibited items list located at http://www.worldwidetrader.com/Membership/prohibitedItems.asp . WWT will notify users of any changes to the Prohibited Items page by posting an announcement on our homepage, or by a system e-mail. Any changes to the Prohibited Items page will be effective immediately.

When creating an ad, the user must choose the category that most closely fits the characteristics of the sale item. The advertisement must not be false, misleading or deceptive in any way; contain libelous, slanderous or otherwise malicious references to a company, person or other entity; violate any law, including but not limited to consumer protection, fraud, trademark infringement or other rights-of-ownership law; contain computer viruses of any nature. The ads must not contain e-mail addresses, hyperlinks, or other contact information, for the purposes of circumventing the services and fees, or for the purposes of inbound or outbound solicitation, of WWT. Users who place a “wanted ad” or “wanted ad alert” are strictly prohibited from placing any contact information anywhere in the ad. If the website prompts the user to enter any such contact information in a specific field, those actions are acceptable and are exempt from violation of this section.

If an ad is deemed to include restricted information such as that listed above, WWT reserves the right to cancel the ad without refund, and close or otherwise curb the user’s account permanently or until the matter is rectified. These actions are not the sole course of actions that WWT or other affected users may take against the offending party. WWT’s failure to act against the user or other parties for prohibited actions in no way restricts WWT from taking action against these or future such occurrences at a later date.

The user is strictly prohibited from collecting information from WWT for any use that falls outside the structure of WWT’s services, User Agreement and Privacy Policy. The user cannot collect email addresses or other provided personal information for marketing, “spamming” or any other use not covered in this Agreement. The user is prohibited from copying, interfering with or accessing the structure of any advertisements, pages, or other content on this site, through manual, electronic or other means. WWT reserves all rights to file appropriate legal action against any users that materially breach this agreement.

The user is strictly prohibited contacting any other users on the WWT website for the purposes of circumventing the services and fees, or soliciting the customers, of WWT. WWT reserves the right to close the user’s account permanently if such breach is determined by WWT. These actions are not the sole course of actions that WWT or other affected users may take against the offending party. WWT’s failure to act against the user or other parties for prohibited actions in no way restricts WWT from taking action against these or future such occurrences at a later date.

Feedback and User Comments
WWT may offer a Feedback / User Comments area where any WWT user may post comments regarding their experience with other users of the site. WWT does not control what is written in this area, and will not be held responsible for any remarks issued by users or other parties, regardless of how negative, malevolent or revealing the comments may be. The target user will have the opportunity to respond to any comments directed at him or his items. Responses will be posted in either the same area or a directly-linked page of the Web site.

WWT, WorldWideTrader.com, WWT logos, all Website designs and submitted advertisement information contained at www.WorldWideTrader.com is are the property of WorldWide Trader.com, L.L.C. The names and logos of other products or services listed on our Web site may be licensed to their respective owners. With the exception of printing advertisements posted by, or of interest, to you, no information contained on this site may be reproduced, modified, stored or otherwise used without express written consent of the owner.
